Rate of Pay: $162,000 to $200,000 USD

Purpose:
The Contracts Director is responsible for leading the contract's function, ensuring effective negotiation, execution, and management of all contractual agreements. This role provides strategic guidance on contract risk, compliance, and lifecycle management. The ideal candidate will be a strategic business partner who brings deep experience in SaaS, technology, and public sector contracting, with the ability to streamline processes, mitigate risks, and drive efficiency across global operations.
Responsibilities:
Contracts Strategy and Governance
- Oversee the drafting, negotiation, and execution of a wide range of commercial, government, and vendor contracts.
- Develop and implement contract policies, procedures, and best practices to ensure compliance with applicable laws and regulations.
- Maintain a strong understanding of industry trends, regulatory changes, and legal developments
Contract Lifecycle Management (CLM)
- Oversee the full lifecycle of customer, vendor, partner, and subcontractor agreements, including drafting, reviewing, negotiating, and execution.
- Assist with Implementing and managing a CLM system to improve visibility, compliance, and operational efficiency.
- Establish and monitor key performance indicators (KPIs) for contract turnaround, renewal, and compliance tracking.
Risk Management and Compliance
- Identify and assess contractual and commercial risks across business lines.
- Create and maintain a company-wide contract risk profile to guide business decision-making.
- Provide strategic guidance to leadership and sales teams on risk tolerance, indemnity provisions, limitation of liability, and regulatory compliance (including data privacy, export, and public sector procurement).
Templates, Tools, and Efficiencies
- Develop, maintain, and continuously improve standardized templates for NDAs, SaaS agreements, service orders, partnership agreements, and statements of work.
- Streamline contract processes to accelerate deal cycles.
- Partner with cross-functional teams (Sales, Finance, Legal, Operations, and Procurement) to simplify and automate contract workflows, including assisting with the identification of and transition to a Contract Management tool or service
Team Leadership and Development
- Lead, mentor, and develop a high-performing contracts team responsible for global contract operations.
- Establish professional development goals, resource allocation strategies, and succession planning within the contracts function.
- Foster a culture of accountability, responsiveness, and continuous improvement.
Cross-Functional Collaboration
- Partner closely with Legal, Sales, Engineering, Finance, and Executive teams to support business growth while managing commercial and compliance risk.
- Support enterprise and public safety bid processes, RFP responses, and contract negotiations with domestic and international agencies.
- Serve as a trusted advisor to senior leadership, contributing to business strategy from a contracts and risk management perspective.
Key Performance Indicators (KPIs)
- Reduction in contract cycle times and bottlenecks.
- CLM system utilization and efficiency improvements.
- Reduction in contractual risk exposure and exceptions.
- Improved consistency and compliance in contract terms.
- Team performance and stakeholder satisfaction.
Requirements:
- Deep understanding of SaaS and technology contract structures, including licensing, data protection, and service delivery terms.
- Strong business acumen with the ability to balance commercial outcomes and risk management.
- Excellent negotiation, communication, and stakeholder management skills.
- Strategic thinker with an operational mindset and attention to detail.
- Proven ability to lead, develop, and inspire cross-functional teams.
- You will need to work in the office 2-3 days a week.
- 10+ years of progressive experience managing contracts in SaaS, technology, or enterprise environments.
- 5+ years in a leadership or director-level role overseeing a contracts or commercial operations team.
- Demonstrated experience with international contracting, public sector or public safety procurement, and SaaS subscription models.
- Proven ability to identify and mitigate legal, financial, and operational risks.
- Experience implementing and optimizing contract lifecycle management (CLM) systems.
Education:
- Bachelor's degree in Business Administration, Law, or related field required.
- JD, MBA, or equivalent advanced degree preferred.
